Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mor mobile application, website(s), and related services (collectively, the "Service"), operated by Mor Labs, Inc. ("Mor," "we," "us," or "our").

By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, do not access or use the Service.

1. Definitions

"Service" means the Mor application, website(s), features, tools, and related services.

"User Content" means any content you submit, upload, input, or otherwise provide through the Service.

"AI Content" means summaries, responses, insights, analyses, or other outputs generated by automated or artificial-intelligence-based systems within the Service.

"Paid Features" means any portion of the Service offered in exchange for a fee, subscription, or other consideration.

"Mor," "we," "us," "our" refer to Mor Labs, Inc.

"You" means the individual or entity accessing or using the Service.

2. Eligibility

You may use the Service only if you are at least 13 years old (or the minimum age required by applicable law) and capable of forming a binding contract.

By using the Service, you represent and warrant that you meet these requirements.

3. Nature of the Service

Mor provides tools that help users access, organize, summarize, and understand information.

The Service may algorithmically select, rank, cluster, summarize, filter, or personalize content. Such selection or ranking does not imply endorsement, accuracy, completeness, importance, or suitability for any purpose, and outputs may differ between users.

Mor does not guarantee that any content is accurate, complete, current, or suitable for any particular purpose. To the extent the Service references or incorporates information originating from third parties, responsibility for such information remains with the original source and not with Mor.

4. No Professional Advice

The Service and all content provided through it are for informational purposes only.

The Service does not provide medical, legal, financial, investment, tax, or other professional advice. You should consult qualified professionals before making decisions based on information obtained through the Service.

5. No Reliance

You acknowledge and agree that you will not rely on the Service or any content as the sole basis for making decisions or taking actions.

AI Content and other outputs are not predictions, recommendations, instructions, or signals of any kind, and do not constitute guidance regarding future events, outcomes, or actions.

You are solely responsible for evaluating information obtained through the Service and for any decisions or actions you take based on that information.

6. Accounts and Security

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.

You agree to notify Mor promptly of any unauthorized access or use.

7. Acceptable Use

You agree not to:

• Use the Service in violation of applicable law.
• Interfere with or disrupt the Service or its security.
• Circumvent, disable, or bypass access controls or safeguards.
• Access, extract, or reproduce content through automated means (including scraping, crawling, benchmarking, harvesting, or similar techniques) at scale, for competitive purposes, or to bypass controls, without Mor's prior written permission.
• Reverse engineer, decompile, or attempt to derive source code except to the extent permitted by law.

Ordinary human use of the Service and lawful research that does not involve circumvention or high-volume automated access is permitted.

8. User Content and License

You retain ownership of your User Content.

You grant Mor a non-exclusive, worldwide, royalty-free license to host, process, use, display, and transmit User Content solely to operate, secure, personalize, and provide the Service.

Mor does not use User Content to train general-purpose artificial-intelligence models. Mor may use de-identified and aggregated data to improve service quality, performance, and safety, consistent with the Privacy Policy.

9. Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant Mor a perpetual, irrevocable, royalty-free right to use them without restriction or obligation.

10. Availability and Changes

Mor may modify, suspend, or discontinue any part of the Service at any time.

Mor does not guarantee the continued availability of any feature, functionality, content, or historical access.

11. Copyright and DMCA

Mor respects intellectual property rights and responds to notices of alleged infringement in accordance with applicable law.

Copyright notices and counter-notices may be submitted through the Service or via Mor's designated copyright agent, as identified in Mor's copyright policy or applicable registry.

12. Paid Features

Certain features may require payment. Pricing, billing, renewals, trials, refunds, and taxes will be disclosed at purchase.

Refunds are provided only where required by law. Prices may change with reasonable notice. Third-party platform terms (e.g., app stores) may apply.

13. Termination

Mor may suspend or terminate access to the Service at any time, to the extent permitted by law.

You may stop using the Service at any time.

14. Government and Legal Process

Mor may disclose information if required to comply with applicable law, regulation, legal process, or lawful governmental request.

15. Export Controls and Sanctions

You may not use the Service in violation of export control or sanctions laws, including use in prohibited jurisdictions. You are responsible for compliance with applicable laws.

16. Indemnification

You agree to indemnify and hold harmless Mor from claims arising out of your use of the Service or violation of these Terms, except to the extent caused by Mor's willful misconduct where prohibited by law.

17. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Mor disclaims all warranties, express or implied.

18. Limitation of Liability

To the maximum extent permitted by law, Mor shall not be liable for indirect, incidental, consequential, special, or punitive damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

19. Governing Law and Venue

Except as required by mandatory local law, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Where arbitration does not apply or is unenforceable, you agree that any dispute shall be brought in the state or federal courts located in Delaware, unless mandatory local law provides otherwise.

20. Arbitration and Dispute Resolution

Before initiating formal proceedings, you agree to notify Mor of any dispute and allow 30 days for informal resolution.

Except where prohibited by law, disputes shall be resolved by binding arbitration administered under applicable consumer arbitration rules. Small-claims matters may be brought in court.

You may opt out of arbitration within 30 days of account creation by submitting a clear written request through the Service settings or account interface designated for legal notices; if that interface is unavailable, you may opt out by sending a clear written notice by email or mail using the contact details specified for legal notices in Mor's policies or notices.

If any portion of this arbitration or class-action waiver provision is found unenforceable, the unenforceable portion shall be severed and the remainder enforced to the maximum extent permitted by law.

21. Consumer Rights

Nothing in these Terms limits non-waivable rights under applicable consumer protection laws. Mandatory local law prevails where applicable.

22. Assignment

Mor may assign these Terms in connection with a merger, sale of assets, financing, or corporate restructuring.

23. Interpretation

Headings are for convenience only and do not affect interpretation. The word "including" means "including without limitation." Any ambiguities shall be interpreted to give effect to the intent of these Terms and the allocation of risk described herein.

24. Survival

The following sections survive termination: Sections 5, 7, 8, 9, 14, 15, 16, 17, 18, 19, 20, 21, 23, and 24.

25. Entire Agreement

These Terms constitute the entire agreement between you and Mor regarding the Service.

If any provision is held unenforceable, the remainder will remain in effect.
